KDA regulations

Chapter 1 : General Provisions

Article 1 : (Official Title)
The official title of this organization is the Korean Diabetes Association.
Article 2 : (Head Quarters)
The headquarters of this organization is in Seoul TeukByeol-Si by principle, and branches can be placed in other provinces.
Article 3 : (Objective)
This organization promotes academic exchange, contributes to medical advancement, public health, and fellowship among members through research in the field of diabetes and metabolic diseases.
Article 4 : (Business Operations)

In order to achieve the objectives set by this organization, the following business operations are employed.

  • Conferences, training courses, seminars, and group meetings are held
  • A journal and other books are published
  • Academic exchange with foreign academic institutions
  • Management of diabetes patients and promotional business
  • Runs diabetes educator certification
  • Fellowship and congratulatory business for members
  • Other business related with the objective of this organization

Chapter 2: Membership

Article 5 : (Organization and qualification)

This organization is composed of the following types of members.

  • Regular members and lifetime members: Individuals who are involved with diabetes research and treatment, strongly support the goal of this organization, and pay a membership fee. Lifetime members pay their membership fee every 10 years.
  • Associate members: Members who are receiving training in the field of diabetes, or individuals who have equivalent qualifications and pay the membership fee.
  • Honorary Member: Members who support the objectives of this organization, and have contributed to the development of the diabetes field, and have been approved by the board of trustees.
  • Supporting Members: Members who support the goal of this organization and provide individual or corporate sponsorship.
Article 6 : (Admission)
Individuals who wish to be admitted to this organization must pay an entrance fee and membership fee with their application.
Article 7 : (Duties and rights)
  • Members must comply with regulations and bylaws set by the board of trustees.
  • Members mentioned in article 5 section 1, 2, and 4 must pay an entrance fee and membership fee to this organization.
  • Members who have fulfilled all of their duties receive full rights as members of this organization. However, only full members have the right to vote for new rules, vote for new council members, and have the eligibility to hold a position on the official council.
  • Membership of those mentioned in article 5 section 1 and 2 who have not paid their membership fees for 3 years without a legitimate reason or failed to register for more than three conferences can be revoked through deliberation by the board of trustees.
  • Members who fail to comply with membership duties or deface this organization may be expelled through deliberation by the board of trustees.

Chapter 3: Officer

Article 8 : (Officers)

The following officers are selected from full members in order to achieve the objectives of this organization.

  • 1 Chairman
  • 2 vice-chairmen
  • 1 board president
  • 20 (approx.) directors
  • 2 financial managers
  • 100 (approx.) trustees
Article 9 : (Duties of officers)
  • The chairman represents this organization, organizes conferences, and leads general assemblies and trustee meetings
  • The vice-chairmen assist the chairman, and perform the duties of the chairman when he or she is absent from the meetings of the board of trustees.
  • The board president oversees the affairs of this organization, and is the chairman of the board of directors.
  • Directors assist the board president and perform duties assigned to them.
  • Financial managers audit the finances of the office of this organization, and report them to the board of trustees.
  • Trustees form the board of trustees.
Article 10 : (Election of officers and terms)
  • The chairman, vice chairmen, the board president, and the financial managers are elected by the board of trustees, and the results are announced in a general assembly. The terms are as follows: chairman and vice chairmen 1 year, board president 2 years.
    In order to conduct work effectively, the president of the board is elected one year prior to being appointed by the board of trustees, and participates on the board of directors until inaugurated.
  • Directors appointed by the board president must be approved by the board of trustees.
  • Electing trustees is a duty of the board of trustees, and must receive approval in a general assembly. The term of a trustee is 2 years.
  • When the position of chairman, vice-chairmen, board president, and financial managers are vacant, an election is held by the board of trustees, and the results are reported in a general assembly. The term of elected officers is for the remaining duration of their predecessor's term.
Article 11 : (Honorary chairman)
The honorary chairman is a former chairman who has made contributions to the development of this organization or a board president that has been appointed by the board of trustees. This is reported during a general assembly and the honorary chairman has no term limit.
Article 12 : (Advisors)
Advisors are elected by the board of directors, and must receive the approval of the board of trustees. The advisor accepts the advice of the board president.

Chapter 4: Organization

Article 13 : (Organization)

In order to achieve the objectives of this organization, the following structure has been prepared.

  • General assembly
  • Board of trustees
  • Board of directors
  • Committee
Article 14 : (General assembly)
  • The general assembly is composed of the members mentioned in article 5.
  • Regular general assemblies during the annual conferences are organized and overseen by the chairman. The decisions and activities of the board of trustees and the board of directors are reported during assemblies, and they are deliberated and voted upon, and the achievements of studies performed by members are presented.
  • When a provisional general assembly is requested by 1/3 of the board of trustees and the board of directors, it is overseen by the chairman.
  • General assemblies are attended by the majority of the members, and decisions are made by the majority vote of the members in attendance.
Article 15 : (Board of trustees)
  • The board of trustees is made up of trustees, and the board of trustees convenes two times per year. The board president oversees these meetings, and the chairman acts as the chairman of that meeting.
  • The board of trustees consists of the majority of the trustees in attendance, and the agenda is decided by the majority vote of the trustees in attendance.
  • When the chairman of the meeting is requested by 1/3 of the trustees and the board of directors, a provisional meeting of the board of trustees can be called.
  • The board of trustees votes on the following points.
    • Matters relating to electing officers
    • Matters related to confirming directors
    • Changing the regulations and budget, and approving fiscal matters
    • Matters related to changes in membership
    • Matters related to general affairs regarding this organization
    • Authorization of details for the other board of directors
  • Eligibility of trustees
    • Members of the Korean Diabetes Association who play important roles in diabetes research and management
      • Hold a position higher than associate professor at a university hospital
      • Was a specialist in an endocrinology and metabolism department for over 8 years
      • Members, staff, directors, etc. with over 6 years of experience
      • Was a primary author or the author responsible for publishing over 8 diabetes related medical articles
    • Trustee qualification: Deemed eligible by the board president of the Korean Diabetes Association, recommended by a trustee, and deemed qualified by the board of directors.
    • Trustee eligibility restrictions

      The following cases describe how a trustee can naturally lose qualification.

      • Was absent in 3 trustee meetings over 3 times in 2 years
      • Was absent over in over 3 spring or fall conferences in 2 years
        (c. this excludes overseas training or education)
Article 16 : (Board of directors)
  • Consists of the board president of the board of directors, chairman-elect, chairman, and meets regularly 4 times per year. The board president oversees these meetings as the meeting chairman.
  • The board of directors requires over 2/3 of the current directors in attendance, and decisions are made based on the majority vote of the directors in attendance.
  • When the president of the board is needed, and he/she is requested by the majority of the directors, a provisional meeting of the board of directors can be called.
  • The board of directors is responsible for the following departments: 1. Secretary 2. Finance 3. Academic 4. Education 5. Publishing 6. Training 7. Research 8. Nutrition 9. Legal/Insurance 10. Public Relations 11. International Relations 12. Practice Guidelines 13. Other
  • Directors divide operations of each department mentioned in the previous clause, and in order to assist with the duties of the directors, a secretary may be requested.
  • The board of directors shall deliberate the following:
    • Matters regarding membership eligibility
    • Business planning, budgeting, and details regarding account settlement
    • Member approval of each committee and details regarding approved business details
    • Matters relating to the office and provisions
    • Matters relating to conferences and academic lectures
    • Matters regarding recognition and disciplinary action
    • Matters regarding diabetes patient education
Article 17 : (Committees)
  • In order to operate each department mentioned in article 16 section 4, each department director sets up and becomes the chairman of the corresponding committee.
  • Each committee candidate must be recommended by a director and then elected by the board of directors.
Article 18 : (Proceedings report)
The chairman of the general assemblies, trustee board meetings, director board meetings, and committee meetings must prepare a proceedings report.

Chapter 5: Finances

Article 19 : (Finances)
The admission fee, membership fee, donations, and other earnings fund this organization, and the admission and membership fees are set by the board of directors, and must be approved by the board of trustees.
Article 20 : (Budgeting and account settlement)
  • Each year's revenue, appropriations, account settlements, and business plans must be considered by the board of directors, and must then be approved by the board of trustees and the general assembly. The results are announced during the proceedings of the assembly.
  • Accounting is performed at the end of the fiscal year.

Chapter 6: Supplementary Provisions

Article 21 : (Regulation revisions)
Revisions and modifications to these regulations must receive over 2/3 of the votes from attending trustees.
Article 22 : (Regulations)
  • When regulations are not followed, general guidelines are followed.
  • Measures that are required to implement these regulations are selected.
Article 23 : (Taking effect)
After these regulations are passed in the general assembly, they are put into effect after being approved by the Korean Medical Association.
